Guidewire agrees to acquire hyperexponential for $1.7 billion plus contingent consideration
The transaction would bring hyperexponential’s AI underwriting platform into Guidewire’s insurance software portfolio, subject to customary closing conditions.

Guidewire Software announced October 27 that it had entered a definitive agreement to acquire hyperexponential, a London-based provider of AI underwriting software for insurers.
The transaction includes a base purchase price of $1.7 billion in cash and up to $400 million in contingent consideration tied to specified recurring-revenue targets, according to the announcement. Guidewire expects the deal to close in the second quarter of its fiscal 2027, subject to customary conditions and approvals.
hyperexponential’s platform is used for risk pricing and underwriting workflows in commercial and specialty property-and-casualty insurance. Guidewire said the combination is intended to accelerate its work on agentic underwriting and connect risk models with the broader systems insurers use to quote, manage and service policies.
The contingent consideration means the final economics could differ from the base price depending on the stated targets. The announced amount is transaction consideration, not a forecast of revenue synergies, underwriting profitability or customer savings.
