Standard Bank commits up to $200 million to OPay ahead of proposed NYSE IPO

The investment would be made through a private placement tied to OPay's proposed listing under OPAY, with the final amount capped by regulatory-capital and ownership limits.

Standard Bank Group has agreed to invest up to $200 million in OPay through a private placement that is expected to close concurrently with, or shortly after, OPay's proposed initial public offering, the companies said.

OPay filed a Form F-1 registration statement with the Securities and Exchange Commission on October 9 to list American depositary shares on the New York Stock Exchange under the ticker OPAY. The filing is a proposed offering, not a completed listing, and the size, price range and timing of the IPO remain subject to regulatory review and market conditions.

Standard Bank's commitment is capped at the lowest of $200 million, 0.98% of the bank's qualifying regulatory capital, or the amount required to acquire a 4.99% stake at the IPO price. That structure limits the bank's exposure while preserving the ability to take a meaningful position if the offering proceeds.

The deal would connect one of Africa's largest banking groups with a payments company whose operating footprint is concentrated in African markets. OPay's proposed public-market path will give investors a more visible way to assess the economics of mobile payments, wallets and merchant services in those markets, but the registration statement remains subject to the normal risks and disclosures of an IPO process.

Neither the final investment amount nor OPay's final IPO valuation is known at this stage. Standard Bank and OPay have not announced a completed transaction or a guaranteed listing date.
